The Site is an Internet property of MYSTENDA TRADING Ltd. and its affiliated companies ("videoPP," "we" or "us"). You fully agree to the following videoPP Website Terms and Conditions ("Terms and Conditions"), when you: (a) access or use the Site; (b) register as a regular member on the Site ("Regular Member"), which enables you to access the various Regular Member services detailed below ("Regular Services"); and/or (c) register as a premium member on the Site ("Premium Member"), which enables you to access the various Premium Member services detailed below ("Premium Services"). These Terms and Conditions are inclusive of the videoPP Privacy Policy ("Privacy Policy") and any and all other applicable videoPP operating rules, policies, price schedules and other supplemental terms and conditions or documents that may be published from time to time, which are expressly incorporated herein by reference (collectively, the "Agreement"). Please study the Agreement thoroughly. If you do not fully agree to the terms and conditions contained within the Agreement, you are not authorized to use the Site or Services in any manner or form whatsoever.

1. Scope of Agreement.

You agree to the terms and conditions outlined in the Agreement with respect to your use of the Site and Services. The Agreement constitutes the entire and only agreement between you and videoPP with respect to your use of the Site and Services, and supersedes all prior or contemporaneous agreements, representations, warranties and/or understandings with respect to your use of the Services, Site, the content contained therein and/or any other products and services provided by or through same. You understand and agree that videoPP is not responsible or liable in any manner whatsoever for your inability to use the Site and/or Services.

2. Amendments to Agreement.

We may make occasional alterations to the Agreement in our sole discretion, without any specific notification. It is your responsibility to review these terms of service for any changes. Your use of the videoPP website following any amendment of these terms of service will signify your assent to and acceptance of its revised terms.

3. Requirements.

The Site and Services are available only to individuals that are at least eighteen (18) years old and that can enter into legally binding contracts under applicable law.

4. Registration.

The visitors of videoPP can obtain the some services without signing up. The unregistered users are allowed to watch video of any quality only for 15 minutes per day. In order to obtain Regular Services and/or Premium Services, you have to sign up videoPP first. The information that you must supply on the Site in order to obtain the Regular Services include your e-mail address. The information that you must supply on the Site in order to obtain Premium Services may include, without limitation: (1) your name; (2) surname; (3) e-mail address; (4) phone number; (5) home address; (6) your credit card information or PayPal® information (depending on your preferred means of payment). You agree to provide true, accurate, current and complete Registration Data, as necessary, in order to maintain it in up to date and accurate fashion. The e-mail and password may be changed later on by editing account's information.

For purposes of the Agreement, "PayPal" shall mean PayPal, Inc. Please be advised that videobb is not in any way affiliated with PayPal, and the Site and Services are neither endorsed, nor sponsored, by PayPal. PayPal® is a registered trademark of PayPal, Inc.

You can access your Services Account at the Site using your LOGIN and PASSWORD. You are responsible for maintaining the confidentiality of your Services Account, login and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur through use of your Services Account, login and password including, without limitation, any and all purchases made therethrough.

5. Termination.

Infringement of the current Agreement or conducting any unauthorized commercial activity by and through your Membership entails immediate termination of your Membership by videoPP.

6. Description of Services.

The unregistered users of the Site are allowed to watch the content for 15 minutes per day only.

The Regular Members (the ones who have registered for free) are welcome to upload video files at regular speeds to the Site, and are permitted to watch low quality video without any restrictions and high quality video for 30 minutes per day only. The Video Content uploaded by Regular Members that has not been accessed or viewed for a period of 60 days will be deleted from the Site.

The Premium Members have a right to watch the content without any advertisement and restrictions, download content and. They are entitled to high speed streaming. The content uploaded by the Premium Members will not be deleted.

TO USE THE SITE AND/OR SERVICES TO DOWNLOAD OR DISPLAY ANY OBSCENE, PORNOGRAPHIC, SEXUALLY EXPLICIT OR OTHERWISE PRURIENT IMAGES, VIDEO OR PHOTOGRAPHS IS STRICTLY PROHIBITED.

videoPP will not be responsible in any respect for lost, stolen or misdirected Member Video Content, for any failure to secure or protect Member Video Content.

7. Member Video Content.

videoPP allows its users to submit video or other material and the hosting, sharing, and/or publishing of such submissions. You shall be solely responsible for your own uploads and the consequences of posting or publishing them. In connection with your submissions, you affirm/warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize MYSTENDA TRADING Ltd. to use all patent, trademark, trade secret, copyright or other proprietary rights in and to all submissions to enable inclusion and use of the submissions in the manner contemplated by these terms of service; and you have the written consent, release, and/or permission of each and every identifiable person in the submission to use the name or likeness of each individual for use in your submissions in the manner contemplated by these terms of service. You retain all of your ownership rights in your submissions. However, by uploading the material to videoPP, you grant a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the submission in connection with the VideoWeed website and business. The license granted by you terminates once you delete the submission from the videoPP website.

You also agree that under NO circumstances you will:

1) upload the content that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant MYSTENDA TRADING Ltd. all of the license rights granted herein;
2) submit the video content that is unlawful, threatening, harassing, hateful, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate;
3) post advertisements or solicitations of business;
4) publish falsehoods or misrepresentations that could damage MYSTENDA TRADING Ltd. or any third party;
5) impersonate another person;
6) submit adult-oriented material.

MYSTENDA TRADING Ltd. does not endorse any user submission, and expressly disclaims any and all liability in connection with user submissions. MYSTENDA TRADING Ltd. does not permit copyright infringing activities or infringement of intellectual property rights on its website, and will promptly and without prior notice remove all content and user submissions if properly notified of infringements on third party's intellectual property rights. Repeat infringers will have their user access terminated.

If you are a copyright owner or an agent thereof and believe that any user submission or other content infringes upon your rights, you may contact us - dmca@videopp.com.

You understand that when using the videoPP website, you will be exposed to user submissions from a wide variety of sources, and that MYSTENDA TRADING Ltd. is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such submissions. You further understand and acknowledge that you may be exposed to user submissions that are inaccurate, indecent, offensive, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against MYSTENDA TRADING Ltd. with respect thereto, and agree to indemnify and hold MYSTENDA TRADING Ltd. and its owners, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the site.

If any video content that is available on the videoPP website somehow hurts your feelings you may report an abuse to abuse@videopp.com.

MYSTENDA TRADING Ltd. permits you to link to materials on the videoPP website for personal, non-commercial purposes only.

9. Premium Membership Fees.

Upon registering for the Premium Services and providing the requisite Premium Services Registration Data, the credit or debit card that you provided during registration or updated at a later date (Active Credit Card), or your PayPal® account, as applicable, will be charged the applicable amount depending on the Premium Membership package selected.

Yo may try one (1) day Premium Membership for free.

One (1) month Premium Membership will cost you Twenty-Nine Dollars and Ninety Cents ($29.90).

Three (3) months Premium Membership will charge your Active Credit Card or PayPal® account, as applicable Seventy-Four Dollars and Ninety Cents ($74.90).

Six months (6) Premium Membership will charge your Active Credit Card or PayPal® account, as applicable, One Hundred and Twenty Dollars ($120).

One (1) year Premium Membership, will charge your Active Credit Card or PayPal® account, as applicable, One Hundred and Ninety-Nine Dollars ($199).

Failure to use the Premium Services does not constitute a basis for refusing to pay any of the associated Fees. Subject to the conditions set forth herein, you agree to be bound by the Billing Provisions of videoPP in effect at any given time. Upon reasonable prior written notice to you (with e-mail sufficing), videoPP reserves the right to change its Billing Provisions whenever necessary, in its sole discretion. Continued use of the Services after receipt of such notice shall constitute consent to any and all such changes; provided, however, that any amendment or modification to the Billing Provisions shall not apply to any charges incurred prior to the applicable amendment or modification.

10. Cancellation of Membership.

You may cancel your Membership at any time if you are not completely satisfied. To cancel your Membership, simply cease using the Site and applicable Services and cancel the subscription with the applicable payment processor, if any. You understand and agree that cancellation of your Membership is your sole right and remedy with respect to any dispute with videoPP. Upon any termination and/or cancellation of your Membership, your license grant, as set forth in Section 12 hereinbelow shall immediately terminate. The following conditions apply to any Premium Membership cancellation: (a) you shall not receive any pro-rata refund of your Fees for partial months or years; and (b) you shall not receive any refund for Fees previously paid up to the date of cancellation or termination and you remain liable for any and all unpaid Fees billed by videoPP.

11. Proprietary Rights.

The videoPP Content, organization, graphics, design, compilation, magnetic translation, digital conversion, software, services and other matters related to the videoPP Content are protected under applicable copyrights, trademarks and other proprietary (including, but not limited to, intellectual property) rights. The copying, redistribution or publication by you of any part of the videoPP Content is strictly prohibited. You do not acquire ownership rights to any videoPP Content or other materials viewed at or through the Site. The posting of information or material at the Site does not constitute a waiver of any right in such information and/or materials.

12. Legal Warning.

Any attempt by any individual, whether or not an videoPP customer, to damage, destroy, tamper with, vandalize and/or otherwise interfere with the operation of the Site and/or Services is a violation of criminal and civil law and videoPP will diligently pursue any and all remedies in this regard against any offending individual or entity to the fullest extent permissible by law and in equity.

13. Indemnification.

You agree to indemnify and hold videoPP, its parents and subsidiaries, and each of their respective members, officers, directors, employees, agents, co-branders, content licensors and/or other partners, harmless from and against any and all claims, expenses (including reasonable attorneys' fees), damages, suits, costs, demands and/or judgments whatsoever, made by any third party due to or arising out of: (a) your use of the Services in any way; (b) your breach of the Agreement; (c) the Member Video Content and/or Member URLs; and/or (d) your violation of any rights of another individual and/or entity. The provisions of this Section 13 are for the benefit of videoPP, its parents, subsidiaries and/or affiliates, and each of their respective officers, directors, members, employees, agents, shareholders, licensors, suppliers and/or attorneys. Each of these individuals and entities shall have the right to assert and enforce these provisions directly against you on its own behalf.

14. Disclaimer of Warranties.

YOU AGREE THAT YOUR USE OF THE videoPP WEBSITE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, MYSTENDA TRADING Ltd., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF.
